Terms governing advisory services, operational systems, educational resources, and implementation support.

These Terms & Conditions govern access to and use of the Prosper Pathways, LLC (“Prosper Pathways,” “we,” “us,” or “our”) website, services, systems, advisory offerings, educational resources, and related digital experiences.

1. Acceptance of Terms

By accessing or using the Prosper Pathways website, services, systems, forms, educational resources, advisory offerings, audits, or related materials (collectively, the “Services”), you agree to these Terms & Conditions and any related policies referenced on this website, including the Privacy Policy.

If you do not agree to these Terms, do not use the Services.

2. Eligibility

The Services are intended for adults aged 18 and older. By using the Services, you represent that you meet this requirement and have the legal authority to enter into these Terms.

3. Services & Scope

Prosper Pathways provides strategic advisory, operational systems implementation, educational resources, digital products, audits, retainers, and related business services designed to support clarity, operational structure, leadership decision-making, and business continuity.

Services may include:

  • Operational systems and implementation services
  • CRM and workflow-related configuration support
  • Strategic Advisory engagements
  • Structured Progress Retainer services
  • Educational programs and digital learning resources
  • Executive Briefs, audits, frameworks, and related materials

Certain services may require an application, intake review, or consultation process and may be accepted or declined at our discretion.

We reserve the right to modify, update, suspend, or discontinue portions of the Services at any time.

4. No Medical, Legal, Financial, or Tax Advice

The Services are provided for educational, informational, operational, and strategic purposes only. Prosper Pathways does not provide medical, mental health, legal, accounting, financial, investment, insurance, or tax advice through these Services unless explicitly stated within a separately governed professional relationship.

You are responsible for your own decisions, implementation choices, operational outcomes, and business activities. You should consult qualified professionals where appropriate.

5. Purchases, Payments & Refunds

If you purchase a product, program, service, advisory engagement, retainer, audit, implementation system, or digital resource, you agree to provide accurate billing and payment information.

  • Pricing: pricing, scope, payment structures, implementation timelines, and service availability may change at any time without prior notice.
  • Payment Methods: Prosper Pathways currently accepts major credit cards, Stripe-supported payment methods, and PayPal where available. Cash, checks, cryptocurrency, offline payment arrangements, or alternative unapproved payment methods are not accepted unless explicitly authorized in writing.
  • Refund Eligibility: refund requests may be submitted within thirty (30) days of purchase provided that access has not yet been granted, implementation work has not begun, no advisory services have commenced, and no material usage of purchased services or programs has occurred.
  • Non-Refundable Conditions: once platform access, educational program access, implementation activity, advisory work, system configuration, or related service delivery has begun, purchases become non-refundable.
  • Processing Fees: approved refunds, where applicable, will be issued minus payment processing fees or non-recoverable transaction costs incurred by Prosper Pathways.
  • Chargebacks: initiating an unwarranted chargeback may result in revoked access to Services, resources, purchased materials, programs, systems, or related accounts.

Prosper Pathways reserves the right to deny refund requests that conflict with these conditions or involve material use of purchased services, systems, frameworks, educational content, implementation work, or advisory resources.

6. Operational Systems & Third-Party Platforms

Certain Services may involve the use of third-party software, platforms, embedded forms, CRM systems, automation tools, scheduling systems, communication systems, or operational technologies.

Prosper Pathways is not responsible for outages, interruptions, policy changes, pricing changes, security issues, platform limitations, or operational failures caused by third-party providers.

Clients remain responsible for their own business operations, implementation decisions, staffing decisions, communication practices, customer management, compliance obligations, and ongoing operational oversight.

For services involving client-owned websites, CRM systems, domains, phone numbers, communication tools, or related business infrastructure, the client remains the owner of those systems and assets. Prosper Pathways may receive authorized access for implementation, configuration, reporting review, advisory support, and service delivery purposes.

7. AI-Assisted Systems & Data Handling

Prosper Pathways may utilize AI-assisted systems, workflow automation tools, cloud-based software platforms, and trusted third-party providers in support of operational analysis, implementation planning, communication, workflow development, scheduling, administrative coordination, and related service delivery activities.

Information submitted through contact forms, intake submissions, discovery requests, audits, advisory engagements, implementation projects, or related interactions may be processed through these systems for operational, analytical, administrative, and service delivery purposes.

While commercially reasonable safeguards are utilized to help protect submitted information, no digital platform, cloud environment, software provider, AI system, or electronic transmission method can guarantee absolute security or confidentiality.

Users and clients should avoid submitting highly sensitive confidential information — including Social Security numbers, banking credentials, passwords, protected health information, or similarly regulated personal data — unless specifically requested as part of an approved engagement workflow.

Use of the Services constitutes acknowledgment that certain operational processes may involve third-party software providers and AI-assisted technologies used in the normal course of business operations and service delivery.

8. Retainer Services

Structured Progress Retainer services are designed to provide quarterly reporting, operational review, leadflow visibility analysis, accountability, prioritization, and continuous improvement guidance following implementation or advisory work.

The Structured Progress Retainer is structured quarter-to-quarter unless otherwise agreed in writing. Each review cycle is paid in advance and may be renewed, paused, or ended before the next quarterly cycle.

Retainer services are not structured as emergency support, daily operational management, unlimited technical support, or unlimited on-demand availability unless otherwise stated in writing.

Scope, cadence, communication expectations, and included support structures may vary by agreement.

9. Educational & Informational Purposes

All Prosper Pathways frameworks, educational programs, advisory materials, operational systems, implementation resources, audits, and related materials are provided for educational and informational purposes only.

Prosper Pathways does not provide individualized legal, tax, accounting, investment, financial planning, medical, psychological, or mental health treatment services unless explicitly stated otherwise in writing under a separately governed professional relationship.

Users remain solely responsible for their own decisions, implementation choices, business operations, financial decisions, operational outcomes, and professional actions.

10. Remote Services

Prosper Pathways currently delivers advisory services, implementation systems, educational frameworks, audits, retainers, and operational support remotely unless otherwise specified in writing. Certain implementation, onboarding, reporting, or operational review activities may require temporary access to third-party business systems or platforms authorized by the client.

11. Intellectual Property

All website content, frameworks, materials, systems, written content, educational resources, designs, trademarks, branding elements, logos, digital products, and program materials are owned by Prosper Pathways or its licensors and are protected by applicable intellectual property laws.

You receive a limited, non-exclusive, non-transferable license to access purchased or provided materials for personal or internal business use only.

You may not reproduce, distribute, sell, republish, retransmit, scrape, modify, or create derivative works from the Services or materials without prior written permission.

12. Acceptable Use

You agree not to misuse the Services or interfere with website functionality, systems, platforms, or operations.

Prohibited conduct includes:

  • Violating applicable laws or regulations
  • Attempting unauthorized access to systems or data
  • Sharing harmful code or malicious software
  • Harassment, abuse, or disruptive behavior
  • Misuse of intellectual property or confidential materials
  • Unauthorized redistribution of purchased or proprietary materials

13. Third-Party Links & Tools

The Services may contain third-party links, embedded tools, scheduling systems, forms, payment systems, or platform integrations.

Prosper Pathways does not control third-party websites or providers and is not responsible for their content, policies, security practices, or operational performance.

14. Disclaimers

The Services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied.

Prosper Pathways does not guarantee specific outcomes, financial performance, operational improvements, business results, leadership results, customer growth, revenue increases, or implementation success.

Outcomes vary based on numerous factors including implementation quality, operational consistency, business conditions, staffing, execution, leadership decisions, market conditions, and third-party platform performance.

15. Limitation of Liability

To the maximum extent permitted by law, Prosper Pathways and its owners, contractors, affiliates, employees, and representatives will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, goodwill, operational interruption, or data loss arising from the use of the Services.

To the extent liability cannot be excluded, total liability arising from any claim related to the Services will not exceed the amount paid for the specific Service giving rise to the claim.

16. Indemnification

You agree to indemnify and hold harmless Prosper Pathways from claims, liabilities, damages, losses, expenses, and reasonable legal fees arising from your use of the Services, your violation of these Terms, your misuse of systems or materials, or your infringement of another party’s rights.

17. Privacy

Our collection and use of information is governed by the Prosper Pathways Privacy Policy.

18. Termination

We may suspend or terminate access to Services if we believe these Terms have been violated, misuse has occurred, fraud is suspected, or operational integrity has been compromised.

Upon termination, access to applicable Services, systems, or materials may immediately cease.

19. Governing Law

These Terms are governed by the laws of the State of Ohio, United States of America, without regard to conflict of laws principles.

Any dispute arising from these Terms or the Services will be resolved in the courts located in Hardin County, Ohio unless otherwise required by applicable law.

20. Changes to These Terms

Prosper Pathways may update these Terms periodically. Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
