Terms governing advisory services, operational systems, educational resources, and implementation support.

1. Acceptance of Terms

By accessing or using the Prosper Pathways, LLC ("Prosper Pathways," "we," "us," or "our") website, forms, resources, programs, advisory offerings, audits, implementation systems, or related services (collectively, the "Services"), you agree to these Terms & Conditions and applicable policies, including our Privacy Policy.

If you do not agree to these Terms, you should not use the Services.

Certain paid engagements may also be governed by a separate proposal, statement of work, service agreement, or other written terms accepted by the parties.

If a separately executed agreement conflicts with these website Terms regarding the same paid engagement, the separately executed agreement controls to the extent of that conflict, unless it states otherwise.

2. Eligibility

The Services are intended for adults aged 18 and older.

By using the Services, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

If you are acting on behalf of a business or organization, you represent that you are authorized to act on its behalf in connection with the Services you request or purchase.

3. Services & Scope

Prosper Pathways provides strategic advisory, operational analysis, implementation systems, educational resources, digital products, diagnostic reviews, retainers, and related business services.

Services may include:

• The free Lost Opportunity Check.
• The paid LeadFlow & Operations Audit.
• The Operational Clarity System.
• The LeadFlow Continuity System.
• Strategic Advisory engagements.
• Structured Progress Retainer services.
• Educational programs, digital resources, frameworks, and Executive Briefs.

Service descriptions and published starting prices provide general information and do not, by themselves, establish a binding project scope.

Specific deliverables, schedules, responsibilities, fees, and service boundaries will be established through the applicable purchase, proposal, or written agreement.

Certain engagements may require an application, discovery review, or scope evaluation and may be accepted or declined based on suitability and availability.

Prosper Pathways may modify, suspend, or discontinue offerings prospectively, subject to obligations under existing agreements.

4. Lost Opportunity Check & LeadFlow & Operations Audit

Lost Opportunity Check: The Lost Opportunity Check is a free, preliminary educational resource designed to help businesses identify possible gaps in inquiry handling, follow-up, and opportunity visibility.

Its results depend on information supplied by the participant. They are not a complete operational assessment, professional certification, or guarantee that every business problem will be identified.

LeadFlow & Operations Audit: The paid audit is a separate structured review that includes up to five prioritized findings and a 90-Day Action Roadmap, subject to the applicable service description and scope.

The published price for the standard audit is $195, unless a different price is expressly presented and accepted at purchase.

Audit findings and recommendations are based on the information made available during the review. Incomplete or inaccurate information may affect the conclusions.

The free check is not required before purchasing the audit. Purchasing the audit does not obligate the client to purchase implementation services.

Completion of the free check alone does not establish a paid consulting, advisory, or fiduciary relationship.

5. Implementation Services & Project Scope

The Operational Clarity System focuses on internal processes, workflow structure, responsibilities, accountability, and operational consistency.

The LeadFlow Continuity System focuses on technical and operational implementation involving lead capture, CRM structure, opportunity tracking, follow-up workflows, reporting, and related systems.

Published starting prices are $1,995 for the Operational Clarity System and $3,995 for the LeadFlow Continuity System. Final pricing depends on the approved scope.

Unless expressly included in writing, services do not include unlimited revisions, unrelated website development, unrestricted integrations, emergency support, or ongoing daily management.

Work outside the agreed scope may require a separate proposal, additional fees, and revised timelines.

Implementation schedules are estimates unless specifically guaranteed in an executed agreement. Timelines may depend on client approvals, access, third-party providers, and project complexity.

6. Strategic Advisory

Strategic Advisory is a separately scoped service addressing leadership, decision-making, priorities, organizational direction, and strategic challenges.

Strategic Advisory engagements start at $5,000, with final pricing determined by the agreed scope, duration, and level of involvement.

Strategic Advisory is distinct from technical implementation services. Website development, CRM configuration, software administration, and ongoing operational management are not included unless expressly agreed in writing.

A Lost Opportunity Check or LeadFlow & Operations Audit is not required to apply for Strategic Advisory.

Submitting an application does not guarantee acceptance or create a paid advisory relationship.

7. Purchases, Payments & Refunds

By purchasing a product, audit, program, retainer, implementation system, or advisory engagement, you agree to provide accurate billing information and satisfy the applicable payment terms.

• Pricing: Prices may change for future purchases or engagements. An accepted written agreement governs the price for the covered engagement.
• Payment methods: Major credit cards, Stripe-supported methods, and PayPal may be accepted where available. Alternative arrangements require written authorization.
• Refund eligibility: Requests may be submitted within thirty (30) days of purchase if access has not been granted, implementation has not begun, advisory services have not commenced, and no material use of purchased services or programs has occurred.
• Non-refundable services: Subject to applicable law and any controlling written agreement, purchases generally become non-refundable once program or platform access, implementation activity, system configuration, advisory work, or related service delivery begins.
• Processing costs: Approved refunds may be reduced by nonrecoverable payment-processing costs where permitted by law and disclosed applicable terms.
• Payment disputes: Customers should contact Prosper Pathways regarding billing concerns. Fraudulent or abusive payment activity may result in suspension of access, subject to applicable law.

Any different cancellation, refund, or payment arrangement must be expressly stated in the applicable written agreement or purchase terms.

Nothing in this section limits non-waivable consumer rights or statutory remedies.

8. Client Responsibilities & Project Cooperation

Clients are responsible for providing accurate and reasonably complete information needed for the agreed work.

Clients may be required to provide timely approvals, access credentials through appropriate secure methods, platform permissions, business documentation, and decisions concerning implementation.

Delayed responses, unavailable systems, incomplete information, or changes in project requirements may affect delivery schedules and project costs.

Clients remain responsible for their business operations, personnel decisions, customer relationships, marketing practices, legal compliance, and operational oversight.

Clients are responsible for reviewing and approving business-facing content, communications, workflows, and operational changes before deployment when approval is required under the agreed scope.

9. Third-Party Platforms & Client Ownership

Certain Services may involve third-party software, CRM systems, websites, hosting providers, domains, email platforms, SMS providers, payment processors, or integrations.

Clients generally maintain ownership or contractual control of their business data, domains, accounts, websites, and other client-owned infrastructure, subject to applicable provider terms.

Prosper Pathways may receive authorized access to client systems for configuration, implementation, analysis, reporting, and agreed support.

Third-party subscriptions, usage charges, messaging costs, hosting fees, domain renewals, and similar expenses are separate from Prosper Pathways fees unless expressly included in a written agreement.

Third-party providers control their own service availability, policies, features, and pricing.

Prosper Pathways is not responsible for failures solely caused by independent third-party providers, except to the extent responsibility cannot lawfully be excluded or is assumed under an applicable agreement.

The parties should address any required account transfer, documentation, access removal, or transition assistance in the project agreement.

10. AI-Assisted Systems & Data Handling

Prosper Pathways may use AI-assisted systems, workflow automation, cloud software, CRM platforms, and other service providers to support business operations and service delivery.

These tools may assist with intake review, operational analysis, communication preparation, workflow design, implementation planning, reporting, and administrative coordination.

Information processed through third-party systems may be subject to the provider's applicable terms, retention practices, and privacy policies.

Users should avoid submitting Social Security numbers, passwords, banking credentials, protected health information, or similarly sensitive data unless specifically requested through an approved process.

AI-generated or AI-assisted outputs may contain inaccuracies and may require professional review or verification.

Information-handling practices are further described in the Prosper Pathways Privacy Policy .

11. Structured Progress Retainer

The Structured Progress Retainer provides optional ongoing operational review, reporting visibility, prioritization, accountability, and continuous improvement support as defined by the engagement.

Retainer arrangements are generally structured quarter-to-quarter unless otherwise agreed in writing.

Each service cycle is paid according to the agreed billing terms. Renewal, cancellation, and continuation are governed by the applicable agreement.

Retainer services do not automatically include emergency support, unlimited technical assistance, daily operations management, or unrestricted availability.

The retainer is not mandatory after completing an audit, implementation, or advisory engagement.

12. Educational & Informational Purposes

Prosper Pathways educational programs, frameworks, digital resources, diagnostic materials, and general website content are provided for educational and informational purposes.

These resources are not substitutes for individualized legal, accounting, tax, investment, insurance, medical, psychological, or mental health advice.

Any separately licensed professional services must be governed by their own applicable agreements and regulatory requirements.

Users remain responsible for determining whether recommendations or frameworks are appropriate for their circumstances.

13. Remote Services

Prosper Pathways currently delivers advisory, implementation, audits, educational programs, retainers, and related services remotely unless otherwise agreed in writing.

Certain projects may require authorized remote access to client-controlled platforms or systems.

14. Intellectual Property & Deliverables

Prosper Pathways and its licensors retain ownership of their preexisting frameworks, methods, templates, educational materials, trademarks, branding, website content, and other proprietary resources.

Users receive a limited, non-exclusive, non-transferable right to use purchased educational resources for personal or internal business purposes unless otherwise authorized.

Ownership and permitted use of custom project deliverables, including website content, CRM configurations, workflow documentation, and implementation materials, should be defined in the applicable written project agreement.

Client-provided materials remain subject to the client's ownership rights and any applicable third-party licenses.

Nothing in these Terms transfers ownership of third-party software or licensed platform technology.

Users may not reproduce, resell, redistribute, republish, or commercially exploit Prosper Pathways proprietary materials without permission, except as allowed by law or an applicable agreement.

15. Acceptable Use

Users agree not to misuse the Services, interfere with website operations, or access systems without authorization.

Prohibited activities include:

• Violating applicable laws or regulations.
• Attempting unauthorized access to accounts, systems, or data.
• Distributing malware or harmful code.
• Engaging in harassment, fraud, or abusive conduct.
• Misusing confidential information or proprietary materials.
• Redistributing purchased content without appropriate permission.

16. Third-Party Links & Tools

The Services may contain links to third-party websites, embedded forms, scheduling tools, payment systems, and software integrations.

These providers operate independently and may have different terms, policies, and security practices.

Prosper Pathways does not control independent third-party websites or services.

17. Disclaimers & Results

General website resources and informational materials are provided on an "as is" and "as available" basis, to the extent permitted by applicable law.

Prosper Pathways does not guarantee particular revenue, customer growth, lead conversion, financial performance, leadership outcomes, or business results.

Outcomes depend on factors including business conditions, implementation, staffing, market conditions, client decisions, and third-party services.

These disclaimers do not eliminate obligations expressly accepted under a written agreement or warranties that cannot lawfully be excluded.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Prosper Pathways and its owners, employees, contractors, affiliates, and representatives will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the Services, including lost profits, business opportunities, or operational interruption.

To the extent liability may lawfully be limited, total liability relating to a specific paid Service will not exceed the amount paid to Prosper Pathways for the Service giving rise to the claim, unless a controlling written agreement provides otherwise.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

19. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Prosper Pathways from third-party claims, liabilities, losses, and reasonable legal expenses arising from your unlawful misuse of the Services, material violation of these Terms, or infringement of another party's rights.

This provision does not require indemnification for liability caused by Prosper Pathways' own unlawful conduct.

20. Privacy

Collection, use, processing, and handling of personal information are addressed in the Prosper Pathways Privacy Policy .

Additional privacy or data-processing terms may apply to specific client engagements or third-party platforms.

21. Suspension, Termination & Transition

Prosper Pathways may suspend or terminate access to applicable Services when there is a material violation of these Terms, suspected fraud, unauthorized access, or a significant security concern.

For paid engagements, termination rights, payment obligations, unfinished deliverables, and transition responsibilities are governed by the applicable written agreement.

Termination does not automatically transfer ownership of third-party accounts or proprietary materials.

Client-owned accounts and data remain subject to the client's rights, applicable agreements, and provider terms.

22. Governing Law & Disputes

These Terms are governed by the laws of the State of Ohio, United States of America, without regard to conflict of laws principles.

Subject to applicable law and any controlling written agreement, disputes arising from these Terms or the Services will be resolved in courts of competent jurisdiction located in Hardin County, Ohio.

Nothing in this provision overrides mandatory consumer protections or jurisdictional requirements that cannot lawfully be waived.

23. Changes to These Terms

Prosper Pathways may revise these Terms to reflect changes in Services, business operations, technology, or applicable requirements.

The "Last Updated" date identifies the latest revision.

Changes will apply prospectively unless otherwise permitted by law or agreed by the parties.

Material changes affecting existing paid agreements will be handled according to those agreements and applicable law.
